Aekonix — Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Aekonix (“Company,” “we,” “us,” or “our”) and the client (“Client,” “you,” or “your”) governing the provision of website development, maintenance, and related digital services.

By engaging our services, signing a proposal, or making payment, you acknowledge that you have read, understood, and agreed to these Terms.

1. Definitions

  • Services: Website development, website maintenance, consulting, support, and related digital solutions provided by Aekonix.

  • Deliverables: Any website, design, code, documentation, or materials produced under a service agreement.

  • Agreement: These Terms together with any proposal, invoice, statement of work, or written confirmation.

2. Scope of Services

Aekonix shall provide Services as described in the approved proposal, quotation, or service package.

Unless expressly stated in writing, Services do not include:

  • Ongoing marketing services

  • Content creation

  • Hosting infrastructure ownership

  • Third-party subscription costs

Any additional work outside the agreed scope shall require written approval and may incur additional fees.

3. Client Obligations

The Client agrees to:

  1. Provide accurate project requirements and materials.

  2. Supply content, credentials, and approvals in a timely manner.

  3. Ensure all provided materials comply with applicable intellectual property laws.

  4. Maintain lawful use of the developed website.

Failure to provide required information may result in project delays without liability to Aekonix.

4. Fees and Payment Terms

4.1 Payment Structure

  • Projects may require an upfront deposit prior to commencement.

  • Remaining balances must be paid according to the invoice schedule.

4.2 Late Payments

Aekonix reserves the right to:

  • Suspend Services

  • Restrict website access

  • Delay delivery

until outstanding payments are settled.

4.3 Non-Refund Policy

Payments are non-refundable once work has commenced unless otherwise agreed in writing.

5. Revisions and Change Requests

Reasonable revisions are included only as specified in the agreed service scope.

The following constitute additional billable work:

  • Feature additions

  • Structural redesigns

  • Changes requested after approval stages

  • Scope expansion

6. Project Timeline and Delivery

Project timelines are estimates and depend on:

  • Client responsiveness

  • Third-party services

  • Technical limitations

Aekonix shall not be liable for delays caused by factors beyond its reasonable control.

7. Website Maintenance Services

Maintenance plans cover only services explicitly listed in the maintenance agreement.

Maintenance excludes:

  • Full redesigns

  • Major feature development

  • Third-party system failures

Emergency or out-of-scope support may be billed separately.

8. Intellectual Property Rights

8.1 Ownership Transfer

Upon full payment:

  • The Client receives ownership rights to the final Deliverables.

8.2 Company Rights

Aekonix retains:

  • Ownership of proprietary tools, frameworks, and pre-existing code.

  • The right to display completed work in portfolios, marketing materials, and case studies unless prohibited in writing.

9. Third-Party Services

Websites may depend on third-party providers including hosting companies, plugins, APIs, or payment processors.

Aekonix is not responsible for:

  • Service interruptions

  • Policy or pricing changes

  • Security vulnerabilities originating from third parties

10. Warranty Disclaimer

Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Aekonix disclaims all warranties, including:

  • Merchantability

  • Fitness for a particular purpose

  • Continuous or error-free operation

11. Limitation of Liability

To the fullest extent permitted by law, Aekonix shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Data loss or cybersecurity incidents

  • Downtime caused by hosting providers or third parties

Total liability shall not exceed the total fees paid for the Services giving rise to the claim.

12. Indemnification

The Client agrees to indemnify and hold harmless Aekonix from claims, damages, or liabilities arising from:

  • Client-provided content

  • Illegal website use

  • Copyright or trademark violations

  • Misuse of Deliverables

13. Confidentiality

Both parties agree to maintain confidentiality of non-public information received during the engagement unless disclosure is required by law.

14. Termination

Either party may terminate the Agreement with written notice.

Upon termination:

  • Outstanding invoices become immediately due.

  • Work completed up to termination shall be billable.

  • Access to services may be revoked.

15. Force Majeure

Aekonix shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to:

  • Natural disasters

  • Internet outages

  • Government actions

  • Cyber incidents

  • Power failures

16. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of Bangladesh, unless otherwise agreed in writing.

Any disputes shall be resolved through negotiation first, followed by jurisdiction in the competent courts of Bangladesh.

17. Amendments

Aekonix reserves the right to modify these Terms at any time. Updated Terms will be published on our website and become effective upon posting.
